Brian Daughney Joins as Partner in the Corporate and Securities Group, Michael Kaufman Joins as Partner, Chairs Tax Group


NEW YORK – February 2022 – Warshaw Burstein, LLP, a full-service law firm in New York City, announced Brian C. Daughney and Michael B. Kaufman have joined the firm as partners in the Corporate and Securities and Tax groups, respectively.

Mr. Daughney, who is a partner in the Corporate and Securities Group, was previously a partner at Becker & Poliakoff, LLP. Mr. Kaufman, who is a partner and chairs the Tax Group, was previously a partner at Moses & Singer, LLP.

Brian C. Daughney

Mr. Daughney has an extensive background in corporate transactions and serves as general counsel and a trusted advisor to clients, who benefit from his multi-disciplinary experience.

He represents issuers and investors in a wide range of corporate transactions including securities offerings, seed capital offerings, venture capital financings and other forms of private equity investment, mergers and acquisitions, joint ventures and recapitalizations and spinouts. He provides counsel to public companies (domestic and foreign) in connection with their public offerings, PIPE financings, 34 Act reporting requirements, regulatory compliance (including ongoing compliance with the SEC, NYSE, NASDAQ, FINRA and state securities laws), as well as general corporate governance matters. Mr. Daughney also assists Special Purpose Acquisition Companies (SPACs) with their initial public offerings and ongoing reporting requirements as well as completing their business combination transactions.

He has also represented broker-dealer firms for over 25 years, including; formation; FINRA, and SEC regulatory issues; as placement agent counsel in private placement offerings under Regulation D; and as underwriters counsel in underwritten offerings including SPAC offerings. He advises broker-dealer clients in a myriad of issues, including AML and know-your-clients matters, net capital, block trades, conflicts of interest and capital markets.

Mr. Daughney served as Mayor of the Village of Garden City, New York from April 2017 to April 2019 and has also served as a Village Trustee for eleven years. In 2019, Mr. Daughney was selected as a Pineapple Ball Honoree by the Garden City Chamber of Commerce, receiving the “Citizen of the Year” award for his outstanding service to the community.

Mr. Daughney earned a Bachelor of Arts from Clark University and a Juris Doctor from Hofstra University.

Michael B. Kaufman

Mr. Kaufman chairs the Tax Group and focuses his practice in domestic and international tax matters.

He has extensive experience providing clients with advice in connection with U.S. federal income taxes. He regularly assists clients with corporate and international tax matters and tax-free reorganizations and structuring international joint ventures and cross-border transactions, as well as partnership tax issues and fund formation and structuring. Mr. Kaufman has experience in real estate tax issues and overseeing global tax planning and compliance, including worldwide tax rate minimization. His clients include domestic and foreign corporations, partnerships, and limited liability companies and S Corporations across an array of industries.

He lends his expertise to tax-related matters in connection with mergers, acquisitions, dispositions, stock purchases and sales, asset purchases and sales, and debt and equity offerings. He provides guidance on reorganizations and spin-off transactions, and advice regarding post-transaction separation of functions and tax sharing agreements. He has helped numerous clients navigate the tax ramifications related to complex, multi-million-dollar merger and acquisition transactions.

Mr. Kaufman earned a Bachelor of Arts in Economics cum laude from Columbia University, a Juris Doctor from the University of Pennsylvania Law School and an LL.M. in Taxation from the New York University School of Law.
