Mr. Breed is a member of the firm’s real estate and litigation groups.  

Mr. Breed represents businesses and individuals in real estate and commercial matters, with a focus on providing ongoing strategic advice to real estate portfolios and developers.  Property owners and operators, as well as tenants, consistently call upon him when confronted by difficult or novel issues—from ownership, business, or lease disputes, to rent-regulatory coverage questions, cooperative and condominium matters, and appellate practice.  In recent years, Mr. Breed has devoted substantial time to counseling artists, advising them on real estate and business concerns, and representing them in commercial and business disputes, both in and out of court.   
 
Mr. Breed’s notable representations include:
 
  • Serving as outside counsel for owner-operator of more than 50 Manhattan properties.
  • Defeating, through multiple appeals, a misreading of provisions of the Rent Act of 2015 that would have judicially re-regulated preferential-rent units permanently deregulated under the Rent Act of 2011.
  • Obtaining decisive ruling in “business divorce” involving owner of a West Village property and advising on all aspects of the spinoff transaction.
  • Representing property owner and manager in all matters arising from the effective destruction, by arson, of a Manhattan mixed-use property.
  • Advising on the redevelopment of three downtown Manhattan sites from pre-purchase due diligence through project commencement.
  • Advising owner and developer on novel Loft Law coverage challenge involving a wood-frame factory building.
  • Advising restaurant franchisee on many issues affecting portfolio of retail leases and investment properties.
  • Defeating defamation claim against sculptor and artist by a principal of the owner of her protected loft.
