Mr. Breed—a member of the firm’s real estate and litigation groups—has become a trusted strategist and advisor for real estate portfolios and developers.  

In addition to providing ongoing counsel, Mr. Breed represents companies and individuals in real estate and commercial disputes—having significant experience with ownership, business-control, and lease controversies, rent regulation, cooperative and condominium matters, and appellate practice.  Mr. Breed also counsels well-known artists, advising on their real estate and business ventures, and representing them in disputes, both in and out of court.   
 
Mr. Breed’s notable representations include:
 
  • Serving as outside counsel for owner-operator of 50+ Manhattan properties.
  • Defeating, through multiple appeals, a misreading of provisions of the Rent Act of 2015 that sought to re-regulate preferential-rent units deregulated under the Rent Act of 2011.
  • Overturning, on appeal, a court’s invalidation of a cooperative corporation share-voting agreement and then obtaining judicial reformation of that agreement.
  • Obtaining decisive ruling in “business divorce” involving a limited liability company owner of a West Village property and advising on all aspects of the spinoff transaction.
  • Representing property owner and manager of a Manhattan mixed-use property in all matters arising from catastrophic damage to the property caused by arson.
  • Advising on the redevelopment of three lower Manhattan sites from pre-purchase due diligence through project commencement.
  • Advising owner and developer on novel Loft Law coverage challenge involving a wood-frame factory building.
  • Successfully obtaining certifications of no harassment (CONH) from New York City’s Department of Housing Preservation and Development for Special District and Pilot Program properties.
  • Advising restaurant franchisee on portfolio of retail leases and investment properties.
  • Defeating defamation claim against sculptor and artist by a principal of the owner of her protected loft.
